TradeWindow Holdings Limited (NZX:TWL) has completed a conditional institutional placement, receiving firm commitments of approximately AUD 5 million (around NZD 5.8 million) before costs. The placement will result in the issuance of about 22.9 million new fully paid ordinary shares at an issue price of AUD 0.22 / NZD 0.25 per share.

The placement included participation from existing shareholders as well as new Australian institutional and sophisticated investors. The process occurred under an NZX trading halt, which ended at market open. Bell Potter Securities Limited acted as the sole lead manager for the placement.

Conditions for Share Issuance
The allotment of new shares is subject to several conditions: approval by shareholders at a Special Shareholders’ Meeting scheduled for mid-December 2025, ASX approval of TradeWindow’s application for a Foreign Exempt Listing, and the company’s listing on the ASX. These approvals are expected to be completed by mid-December 2025.

Use of Placement Funds
Following the placement, the company plans to use the funds for:

  • Accelerating the development of TradeWindow’s Freight AI operating system, its next-generation freight forwarding solution.
  • Strengthening the balance sheet, including repayment of existing debt.
  • Supporting the company’s growth operations across Australia and New Zealand and beyond.
  • Facilitating the Foreign Exempt Listing on the ASX.

Investor Participation
The placement attracted both existing and new institutional investors, adding to the company’s shareholder base.

Next Steps
With shareholder and regulatory approvals anticipated in mid-December, TradeWindow will proceed with issuing the new shares and completing the ASX listing process.
