Radius Residential Care Limited (NZX:RAD) announced the completion of its on-market share buyback programme, originally initiated on 18 December 2024. The programme permitted the purchase of up to 2,000,000 ordinary shares, undertaken under Clause 5 of the Takeovers Code (Class Exemptions) Notice (No 2) 2001. This exemption applies to situations involving shareholders holding more than 20%, allowing the company to execute the buyback while adhering to regulatory requirements.

The buyback concluded with the acquisition of 1,551,429 ordinary shares at an average price of NZD 0.3306 per share. All shares purchased through the programme were cancelled immediately upon acquisition. The cancellation reduces the total number of ordinary shares on issue and completes the scope initially outlined in the December 2024 announcement.

Stake Adjustment by Major Shareholder
Radius Care also disclosed that its largest shareholder, Kade Kings Limited—an entity associated with Executive Chair Brien Cree—has completed the disposal of 0.52% of its holding in the company. According to the update, this disposal was undertaken solely to maintain compliance with the exemption conditions under the Takeovers Code related to shareholders with interests exceeding 20%.

The shareholder further advised that it currently has no intention to divest any additional shares beyond what is required to meet its regulatory obligations. The update reflects the adjustments necessary to remain within the parameters of the exemption applied to the share buyback.

Future Capital Management Considerations
The company noted that future share buyback programmes may be evaluated by the Board in alignment with Radius Care’s Capital Management Framework. Any additional actions would be considered within regulatory guidelines and the company’s policies for managing capital structure.
