The scheme involves transitioning to a new holding company structure through Locate Technologies Limited (NZX:LOC), a recently listed New Zealand entity that will oversee the group.

The scheme will proceed on the basis described in the Scheme Booklet lodged with the ASX on 31 October 2025. All capitalised terms retain their definitions from that document unless context indicates otherwise.

Scheme to Become Effective Following ASIC Lodgement

The company intends to lodge the Court’s orders with the Australian Securities and Investments Commission (ASIC) on 11 December 2025. Once lodged, the scheme becomes legally effective.

Following effectiveness, Locate Technologies shares will be suspended from trading on the ASX at the close of market on the same day. This marks the final trading window for shareholders before the transition to the new corporate structure.
